Terms of Service

Please read these terms carefully before using our services. By working with us, you agree to the terms outlined here.

Services & Scope of Work

Florida Web & Marketing Solutions provides web design, web development, digital marketing, SEO, social media management, WebOps (fractional web team support), and related services as outlined in individual project proposals or service agreements.

All work is governed by a signed proposal or statement of work. Services not explicitly included in the agreed scope will be quoted separately.

We reserve the right to decline projects that conflict with our values or quality standards.

Payment Terms

Payment schedules are outlined in individual project proposals. Web design projects typically require a deposit prior to work commencing, with the balance due upon completion or at agreed milestones.
Monthly retainer services (WebOps fractional team, SEO, Social Media) are billed in advance. Invoices are due within 15 days of issuance.

Late payments may be subject to a 1.5% monthly interest charge. We reserve the right to pause services on accounts overdue by more than 30 days.

All fees are in USD. Prices are subject to change with 30 days written notice for ongoing retainer clients.

Intellectual Property

Upon receipt of full payment, clients receive full ownership of the final deliverables (website design, copy written specifically for the client, and custom code).

Florida Web & Marketing Solutions retains the right to display completed work in our portfolio and marketing materials unless explicitly agreed otherwise in writing.

Third-party assets, stock images, fonts, plugins, and licensed software remain subject to their respective license agreements and are not transferred to the client.

Any pre-existing intellectual property, tools, templates, or frameworks owned by Florida Web & Marketing Solutions remain our property.

Client Responsibilities

Clients are responsible for providing accurate content, timely feedback, and necessary access (hosting credentials, brand assets, etc.) to allow work to proceed.

Significant delays caused by the client may result in timeline adjustments or additional fees.

Clients are responsible for ensuring that any content they provide (text, images, logos) does not infringe on third-party intellectual property rights.

Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the engagement and not to disclose it to third parties without prior written consent.

This obligation survives the termination of the working relationship.

Revisions & Change Orders

Project proposals include a specified number of revision rounds. Revisions beyond the agreed scope will be billed at our standard hourly rate.

Significant changes to project scope, direction, or requirements after work has commenced may require a revised proposal and additional fees.

Warranties & Liability

We warrant that our services will be performed professionally and in accordance with industry standards.

We do not guarantee specific business outcomes such as search engine rankings, lead volume, or revenue increases, as these depend on many factors outside our control.

Our liability is limited to the amount paid for the specific service in question. We are not liable for indirect, incidental, or consequential damages.

Termination

Either party may terminate a monthly service agreement with 30 days written notice.

Project agreements may be terminated by the client with written notice; however, all work completed to date must be paid in full.

We reserve the right to terminate services immediately if a client violates these terms or engages in harmful, illegal, or abusive conduct.

Governing Law

These terms are governed by the laws of the State of Florida. Any disputes shall be resolved in the courts of Palm Beach County, Florida.

If any provision of these terms is found unenforceable, the remaining provisions continue in full force.

Amendments & Contact

We may update these Terms of Service at any time. Continued use of our services after changes constitutes acceptance of the updated terms.
